Bachi is an online marketplace that connects customers with independent service providers, including private chefs, hibachi chefs, DJs, and bartenders, for private events and experiences.

By accessing, browsing, creating an account, requesting a booking, making a payment, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

Bachi is not the provider of the services offered through the Platform. Services are performed solely by independent professionals who operate their own businesses.

Providers available through the Platform may include:

• Private Chefs
• Hibachi Chefs
• DJs
• Bartenders

Bachi facilitates introductions, booking requests, communications, and payment processing between customers and providers.

Bachi does not employ providers and does not supervise, direct, or control how providers perform their services.

Bachi is solely a technology marketplace that facilitates introductions, communications, booking requests, payment processing, and related services between customers and independent service providers. Bachi does not provide, supervise, direct, employ, control, or guarantee the services performed by providers and is not responsible for the acts or omissions of any provider or customer.

All providers listed on Bachi are independent contractors.

Nothing contained in these Terms creates an employment relationship, agency relationship, joint venture, partnership, or franchise between Bachi and any provider.

Providers are solely responsible for:

• Their own licenses and permits
• Taxes and reporting obligations
• Insurance coverage
• Equipment and supplies
• Compliance with applicable laws
• The quality and performance of their services

Customers acknowledge that they are contracting directly with the provider for the requested services.

Customers acknowledge that they are contracting directly with the independent provider for the requested services. Bachi is not a party to the service agreement between customers and providers and is not responsible for the quality, safety, legality, licensing, insurance, punctuality, or performance of any provider.

Certain features of the Platform may require creating an account.

When creating an account, you agree to:

• Provide accurate and current information.
• Maintain the security of your password.
• Promptly update any changes to your information.
• Accept responsibility for all activity occurring under your account.

• Allow another person to use your account.
• Attempt to access another user's account.

Bachi reserves the right to suspend or terminate accounts that violate these Terms.

Submitting a booking request through Bachi does not guarantee that a provider will accept the request.

Providers may accept or decline requests based on availability, location, scheduling conflicts, or other business considerations.

Pricing displayed on the Platform may vary depending on:

• Travel requirements
• Holiday pricing
• Additional customer requests

A booking is not confirmed until the provider accepts the request and any required payment has been successfully processed.

Payments made through the Platform are securely processed by Bachi's third-party payment processor.

Customers agree to pay:

• The quoted service price
• Applicable taxes
• Platform service fees, if applicable
• Any additional charges approved by the customer

Providers authorize Bachi to collect payments on their behalf and to deduct any agreed platform commissions or processing fees before remitting the remaining balance.

Failure to complete payment may result in cancellation of the booking.

Fraudulent or improper payment disputes or chargebacks may result in immediate suspension or termination of the user's account. Bachi reserves the right to recover any unpaid balances, fees, costs, or damages resulting from fraudulent chargebacks or misuse of the payment system.

Cancellation policies may vary depending on the provider and the specific booking.

If a customer cancels a confirmed booking, cancellation fees may apply.

If a provider cancels a confirmed booking, Bachi may assist the customer in locating an alternative provider when reasonably possible. However, Bachi does not guarantee that a replacement provider will be available.

Refund eligibility will be determined in accordance with the cancellation policy applicable to the booking and any mandatory consumer protection laws.

Providers using Bachi agree to:

• Maintain all licenses, certifications, and permits required to perform their services.
• Provide accurate information about their qualifications, experience, pricing, and availability.

• Arrive on time and communicate promptly regarding any scheduling issues.
• Maintain appropriate insurance where required by law.
• Comply with all applicable federal, state, and local laws and regulations.

Providers are solely responsible for the services they perform and for resolving issues directly related to those services.

Providers are solely responsible for maintaining all licenses, permits, certifications, and insurance required by applicable law or reasonably necessary for the services they provide.

Customers agree to:

• Provide accurate booking information.
• Maintain a safe environment for providers to perform their services.
• Ensure the event location complies with applicable laws.
• Obtain any permits required for their event.
• Treat providers respectfully and professionally.
• Pay all agreed fees when due.

Customers are responsible for informing providers of any food allergies, dietary restrictions, accessibility requirements, venue restrictions, or other relevant event details before services begin. Customers are also responsible for obtaining any permits or approvals required for their event and for complying with all applicable laws, including those related to alcohol service where applicable.

Users may not:

• Violate any applicable law or regulation.
• Submit false or misleading information.
• Impersonate another person or business.
• Use the Platform for fraudulent purposes.
• Attempt to interfere with the operation or security of the Platform.
• Upload viruses, malware, or malicious code.
• Harass, threaten, discriminate against, or abuse other users.
• Circumvent Bachi's payment system or booking process.
• Copy, scrape, or reproduce Platform content without authorization.
• Use automated tools to access or collect Platform data without permission.

Bachi reserves the right to suspend or permanently remove any user who violates these Terms.

Customers acknowledge that booking private event services involves inherent risks, including but not limited to personal injury, property damage, allergic reactions, foodborne illness, alcohol related incidents, equipment failure, or provider misconduct. By using the Platform and booking services, customers voluntarily assume these risks. To the fullest extent permitted by law, Bachi shall not be liable for losses arising from these inherent risks.

• Violation of these Terms
• Violation of applicable law
• Negligence, misconduct, or wrongful acts of the user

• The Platform will operate without interruption.

• Providers will meet customer expectations.
• Services will always be available.
• The Platform will be secure against every potential threat.

To the maximum extent permitted by law, Bachi shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to:

• Lost profits.
• Lost business opportunities.
• Data loss.
• Technical interruptions.

Bachi's total liability for any claim relating to the Platform shall not exceed the total fees paid by the customer to Bachi for the specific booking giving rise to the claim.

Unless expressly stated otherwise, Bachi does not conduct criminal background checks, professional licensing verification, insurance verification, or ongoing screening of providers. Customers are responsible for exercising their own judgment when selecting providers through the Platform.

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to its conflict of law principles.
