These Partner Terms & Conditions ("Partner Terms") govern your access to and use of the Bachi platform as a service provider ("Partner," "you," or "your").
Bachi Hospitality LLC ("Bachi," "we," "us," or "our") operates a technology marketplace that connects customers with independent providers of hospitality, entertainment, event, and related services.
By applying to become a Bachi Partner, creating a Partner account, accepting these Partner Terms, or accepting a booking through Bachi, you agree to these Partner Terms.
Partners using Bachi are independent service providers. Partners are not employees, agents, representatives, joint venturers, franchisees, or partners of Bachi.
Bachi does not employ Partners or control the manner or means by which Partners perform their services.
Partners are responsible for their own businesses, personnel, equipment, supplies, taxes, insurance, licenses, permits, certifications, and compliance with applicable laws.
To become and remain a Bachi Partner, you must:
• Be at least 18 years old.
• Have the legal authority to provide the services you offer.
• Provide accurate and current information to Bachi.
• Maintain any licenses, permits, certifications, registrations, or insurance required by applicable law or required by Bachi for your service category.
• Comply with applicable federal, state, and local laws.
Bachi may approve, reject, suspend, or remove Partner accounts in accordance with these Partner Terms and applicable law.
All information submitted to Bachi must be truthful, accurate, complete, and current.
This includes information concerning your identity, business, experience, qualifications, licenses, permits, certifications, insurance, availability, pricing, and services.
You may not knowingly provide false, fraudulent, or misleading information.
Bachi may request documentation supporting information you provide at any time.
Providing materially false or misleading information may result in rejection of your application, suspension or termination of your account, cancellation of bookings, or other appropriate action.
During Partner onboarding, Bachi may ask whether you maintain insurance applicable to the services you provide.
Your response must be truthful and accurate.
Where Bachi or applicable law requires insurance for your service category, you are responsible for maintaining the required coverage while offering and performing services through Bachi.
Bachi may request a Certificate of Insurance or other evidence of coverage at any time.
If insurance information you previously provided becomes inaccurate because your policy expires, is canceled, materially changes, or otherwise ceases to satisfy an applicable requirement, you must promptly notify Bachi.
A Partner's statement that they maintain insurance does not mean that Bachi has independently verified the existence, validity, scope, exclusions, or adequacy of that insurance unless Bachi expressly states otherwise.
Partners are responsible for obtaining and maintaining all licenses, permits, certifications, foodsafety credentials, alcohol-related authorizations, registrations, and other approvals legally required to provide their services.
Acceptance onto Bachi does not constitute a representation by Bachi that a Partner satisfies every legal or regulatory requirement applicable to their services.
Partners are responsible for ensuring that information displayed on their profiles is accurate.
Partners may not misrepresent their identity, experience, qualifications, services, pricing, availability, insurance, licenses, certifications, photographs, portfolio, or business information.
Bachi may request changes to, suspend, or remove profiles that violate these Partner Terms.
When you accept a booking through Bachi, you agree to provide the services described in the confirmed booking.
Partners are expected to arrive on time, provide the agreed services professionally, and communicate promptly regarding material changes or problems.
You may not materially change the agreed price, scope, date, time, or services without the customer's agreement and, where applicable, processing the change through Bachi.
Customer payments for Bachi bookings may be processed through Bachi's designated payment processor.
Partners authorize Bachi and its payment processor to collect payments associated with Bachi bookings and deduct applicable Bachi commissions, service fees, refunds, chargebacks, adjustments, or other authorized amounts before issuing the Partner payout.
The applicable Bachi commission or service fee will be disclosed to the Partner through the platform, booking information, onboarding materials, or another written agreement.
Partners are responsible for providing accurate payout and tax information.
Partners agree to comply with the cancellation and refund terms applicable to bookings made through Bachi.
Partners should not cancel accepted bookings except when reasonably necessary.
Repeated, avoidable, or last-minute cancellations may result in warnings, reduced visibility, suspension, or termination.
Bachi may issue full or partial refunds where permitted under the applicable cancellation policy or where Bachi reasonably determines that the Partner failed to provide the agreed services.
Bachi invests resources in marketing the marketplace, operating the platform, processing payments, supporting bookings, and connecting Partners with customers.
Partners may not use Bachi primarily to identify or meet customers and then intentionally move substantially related bookings or payments outside Bachi for the purpose of avoiding Bachi's applicable commissions or fees.
If a customer and Partner are introduced through Bachi, the Partner agrees not to solicit or knowingly accept a substantially related off-platform booking from that customer in circumvention of Bachi for 12 months following the initial introduction, except where Bachi provides written permission or applicable law requires otherwise.
Partners may not encourage customers to cancel a Bachi booking and rebook directly for the purpose of avoiding Bachi fees.
Bachi may suspend or terminate Partners who intentionally circumvent the platform.
Partners may receive customer information only as necessary to communicate about and perform Bachi bookings.
Partners may not sell customer information, disclose it unnecessarily, or use it for unauthorized marketing.
Partners must take reasonable measures to protect customer information.
Partners must behave professionally and respectfully toward customers, guests, venues, Bachi personnel, and other users.
Partners may not engage in threatening, violent, discriminatory, harassing, fraudulent, reckless, or unlawful conduct while providing services obtained through Bachi.
Partners must take reasonable safety precautions appropriate to the services they provide.
Partners providing cooking, catering, hibachi, private-chef, or other food-related services are responsible for complying with applicable food-safety, sanitation, permitting, storage, transportation, preparation, and allergen requirements.
Partners are responsible for appropriately communicating with customers concerning ingredients and known allergen considerations relevant to their services.
Partners providing bartending or other alcohol-related services are responsible for complying with applicable alcohol laws and regulations.
Partners must maintain any licenses, certifications, permits, or approvals legally required for the services they provide.
Unless expressly stated otherwise, Bachi does not sell or furnish alcoholic beverages.
Customers may be permitted to review Partners following completed bookings.
Partners may not manipulate reviews or offer improper incentives in exchange for false or misleading reviews.
Bachi may remove reviews or other content that violates Bachi policies or applicable law.
Partners are responsible for their own acts and omissions and, where applicable, for the acts and omissions of their personnel, assistants, or subcontractors.
Partners are responsible for damage, injury, loss, or claims resulting from their services to the extent provided by applicable law.
Bachi provides technology and marketplace services that facilitate connections and transactions between customers and independent Partners.
Except where expressly stated otherwise, Bachi does not itself provide the underlying hospitality, entertainment, food, bartending, DJ, chef, hibachi, or other Partner services booked through the platform.
Bachi does not guarantee the quality, safety, legality, availability, insurance, licensing, or suitability of any particular Partner or service.
Nothing in these Partner Terms limits any responsibility that Bachi cannot legally exclude.
Bachi may suspend, restrict, deactivate, or terminate a Partner account where Bachi reasonably believes the Partner:
• Provided materially false or misleading information.
• Failed to maintain a requirement applicable to their services.
• Created a material safety risk.
• Engaged in fraud or unlawful activity.
• Repeatedly canceled bookings without reasonable justification.
• Intentionally circumvented Bachi's booking or payment system.
• Seriously or repeatedly violated these Partner Terms.
To the fullest extent permitted by applicable law, Partners agree to indemnify, defend, and hold harmless Bachi Hospitality LLC and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, penalties, costs, and reasonable legal expenses arising out of or relating to the Partner's services, acts or omissions, violation of these Partner Terms, violation of applicable law, or materially false information provided to Bachi.
To the fullest extent permitted by applicable law, Bachi will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from a Partner's use of the platform.
Nothing in these Partner Terms excludes or limits liability that cannot legally be excluded or limited.
These Partner Terms are governed by the laws of the State of New York, without regard to conflictof-law principles, except where applicable law requires otherwise.
Bachi may update these Partner Terms from time to time.
When required, Bachi will provide notice of material changes.
Continued use of the platform after updated Partner Terms become effective constitutes acceptance to the extent permitted by law.
If any provision of these Partner Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
